Terms & Conditions

• "Agent" means an autonomous or semi-autonomous software client that uses the Services on behalf of a Principal.
• "Principal" means the person or organization that authorizes an Agent to act, typically by issuing a mandate.
• "Provider" means a business that registers a capability specification and exposes actions through the Services.
• "Mandate" means a signed, scoped, time-limited credential that delegates limited authority (allowed actions, spend cap, expiry) to an Agent.
• "Capability Specification" means the machine-readable document by which a Provider declares its actions, schemas, pricing, scopes and limits.
• "Transaction" means an action invoked through the gateway that results in settlement, an attempted charge, or a recorded financial effect.

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to both you and the organization.

You are responsible for the accuracy of the information you provide and for keeping it current. You must promptly notify us of any unauthorized use of your account, credentials, signing keys, or mandates.

Sgovr provides infrastructure that lets Agents discover Providers, read Capability Specifications, and invoke actions under scoped Mandates, with optional settlement, policy enforcement and audit. Sgovr is a neutral intermediary: it does not provide the underlying goods or services offered by Providers, and it is not a party to the contract between a Principal and a Provider unless expressly stated.

Certain features are made available in stub, sandbox or preview modes. These are provided for evaluation only, may change or be withdrawn at any time, and must not be relied upon for production use until expressly enabled for live operation.

Mandates and credentials are the basis on which the Services authorize actions. You are solely responsible for safeguarding them and for all activity conducted under them. You agree to issue Mandates with appropriate scopes, spend caps and expiries, and to revoke them when no longer needed.

We may suspend, throttle, or revoke access where we reasonably believe a credential has been compromised, a Mandate is being misused, or continued access poses a risk to the Services or to other users.

You agree not to, and not to permit any Agent or third party to:

• use the Services in violation of any applicable law, regulation, or third-party right;
• circumvent or attempt to circumvent spend caps, scopes, rate limits, approval controls, idempotency, or audit mechanisms;
• register Providers or Capability Specifications that misrepresent the underlying service, pricing, refund terms, or identity;
• probe, scan, or test the vulnerability of the Services, or breach or otherwise circumvent any security or authentication measure, without authorization;
• interfere with or disrupt the integrity or performance of the Services, including via excessive automated requests;
• use the Services to facilitate fraud, money laundering, sanctions evasion, or any prohibited or illegal transaction; or
• reverse engineer, decompile, or attempt to extract source code except to the extent such restriction is prohibited by law.

If you register as a Provider, you represent that you have the right to offer the actions you expose and that your Capability Specification accurately states your pricing, take-rate, scopes, rate limits, and refund policy. You are responsible for fulfilling actions invoked through the Services and for complying with all laws applicable to your offering, including consumer-protection and tax obligations.

Where the Services settle Transactions, settlement is processed through third-party payment partners. By invoking a transactional action, the Principal authorizes the resulting charge, take-rate, and applicable fees as declared in the relevant Capability Specification. Funds movement, payouts, and chargebacks are subject to the terms and timing of the relevant payment partner.

Refunds are governed by the Provider's declared refund policy and by these Terms. We may withhold, reverse, or adjust amounts to correct errors, process refunds or chargebacks, or comply with law.

Except as required by law or expressly stated, fees are non-refundable. You are responsible for any taxes associated with your use of the Services, other than taxes on Sgovr's net income.

All rights to the Sgovr platform - including its design, source code, specifications, documentation, and content - belong exclusively to Deedy Labs and are protected by the intellectual-property laws of the Republic of Bulgaria and applicable international conventions. Copying, reproducing, distributing, or otherwise using any part of the platform without prior written permission from Deedy Labs is strictly prohibited.

Open-source components bundled with the Services are licensed under their respective licenses. Nothing in these Terms grants you any rights in the Sgovr name, logo, or other marks.

If you provide feedback or suggestions, you grant Deedy Labs a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or obligation to you.

The Services interoperate with Providers and third-party services that we do not control. We are not responsible for the availability, accuracy, or conduct of any third party, and your dealings with them are solely between you and that third party.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ACTION OR SETTLEMENT WILL COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DEEDY LABS OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEDY LABS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO SGOVR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

You agree to indemnify and hold harmless Sgovr and its affiliates from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your Capability Specifications or actions, or your breach of these Terms or of any law or third-party right.

We may suspend or terminate your access to the Services at any time if you breach these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnities.

We may modify the Services and revise these Terms from time to time. Material changes will be notified through the Services or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict-of-laws rules. The competent courts of the city of Sofia will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer-protection rights you may have under the law of your country of habitual residence.
